SFTR and Securities Financing Reporting

An EU regulation requiring firms to report details of securities lending, repo, and margin lending transactions to trade repositories, so regulators can see leverage building up in the shadow banking system.

The 2008 financial crisis was amplified by chains of repo and securities-lending transactions that regulators simply couldn't see building up until they unwound violently. The Securities Financing Transactions Regulation (SFTR), adopted by the EU in 2015 and phased in through 2020, was written to close that blind spot. It requires counterparties — banks, asset managers, pension funds, and others — to report the details of their securities financing transactions (securities lending and borrowing, repo and reverse repo, buy-sell backs, and margin lending) to an authorized trade repository, typically within one business day of the trade.

Reported fields include the parties involved, the securities and collateral used, the value of the transaction, the interest rate or lending fee, and collateral re-use (rehypothecation) information. Regulators use this aggregated data to monitor how much leverage is embedded in the collateral chains connecting banks, funds, and other market participants — visibility that was largely absent before the crisis, when the same collateral could be re-pledged repeatedly through opaque bilateral deals.

For a trading firm, SFTR compliance means building reporting infrastructure similar to that required for EMIR derivatives reporting: unique transaction identifiers, daily reconciliation with counterparties, and reporting even for transactions that were previously handled informally, such as intra-group securities lending.

SFTR requires EU firms to report the details of repo, securities lending, and margin lending transactions to a trade repository, giving regulators visibility into leverage and collateral chains that were largely invisible before the 2008 crisis.
