MiCA and Global Crypto Regulatory Regimes
The EU built one comprehensive rulebook for crypto (MiCA), while the US regulates the same activity through a patchwork of existing securities, commodities, and banking law — and where a token or exchange operates changes what rules actually apply.
Two exchanges can offer the same token to customers in two different countries and face entirely different legal obligations — one operating under a single, purpose-built crypto law, the other trying to fit crypto activity into securities and commodities statutes written decades before blockchains existed. That gap is the difference between the EU's MiCA and the fragmented, case-by-case approach still common elsewhere, especially in the US.
MiCA is a single, comprehensive EU regulation that defines categories of crypto-assets and license requirements directly, giving issuers and exchanges one clear rulebook across all EU member states. Many other jurisdictions, notably the US, instead apply pre-existing securities, commodities, and banking law to crypto activity through enforcement and case law, which means whether a given token or activity is even regulated — and by whom — can stay genuinely unsettled for years.
One rulebook versus a patchwork
MiCA, which came fully into force across the EU in 2024, creates specific licensed categories — for stablecoin issuers ("e-money tokens" and "asset-referenced tokens"), for exchanges and custodians ("crypto-asset service providers"), and for other token issuances — each with defined capital, disclosure, and reserve requirements written directly into the law. A firm that obtains a MiCA license in one EU member state can generally passport that license across the rest of the bloc, giving a single, predictable path to legal operation across roughly 30 countries at once.
Worked example
A firm wants to issue a euro-pegged stablecoin and operate an exchange serving both EU and US customers. In the EU, MiCA tells it directly: the stablecoin is an "e-money token," requiring a licensed e-money institution to hold sufficient reserves and offer redemption at par, and the exchange needs a "crypto-asset service provider" license — both defined explicitly in the regulation, with a clear application process. In the US, the same firm has no single rulebook to check against. It must assess, often without a definitive answer until a regulator or court weighs in, whether its token could be deemed a security under existing securities law (triggering SEC registration requirements), whether its exchange activity falls under commodities law for some tokens and securities law for others, and separately navigate state-by-state money-transmitter licensing — a process that can take years and still leave genuine ambiguity for novel token designs.
What this means in practice
Regulatory clarity itself is a competitive factor: firms increasingly choose where to headquarter licensed entities based on which regime offers a faster, more predictable path to legal operation, and MiCA's single rulebook has pulled meaningful stablecoin and exchange activity toward EU-licensed entities. Conversely, prolonged regulatory ambiguity in a jurisdiction can suppress institutional participation, since large financial institutions are typically unwilling to operate under law that might be reinterpreted retroactively through enforcement action.
"Regulated" does not mean the same thing across jurisdictions, and neither does "compliant." A token issuer holding a full MiCA license in the EU can simultaneously be the target of an open enforcement action in the US for the identical token, because the two regimes are evaluating entirely different legal frameworks, not applying a shared global standard.
